End User Licence Agreement (EULA)

Please read this End User Licence Agreement ("Agreement") carefully before accessing or using any software, platform, or digital services ("Software") provided by SAE Engineering. By clicking "I Agree", accessing the Software, or otherwise using our Services, you ("User", "you") agree to be bound by the terms of this Agreement. If you do not agree, do not use the Software.
1. Grant of Licence
Subject to your compliance with this Agreement, SAE Engineering grants you a limited, non-exclusive, non-transferable, revocable licence to access and use the Software solely for your internal business purposes.
This licence does not include:
- Any right to sublicence, resell, or distribute the Software
- Access to source code (unless separately agreed in writing)
- Use of the Software for the benefit of third parties (e.g., as a bureau or managed service) without prior written consent
2. Restrictions
You must not:
- Copy, modify, adapt, translate, or create derivative works of the Software
- Reverse engineer, decompile, disassemble, or attempt to derive the source code
- Remove, alter, or obscure any proprietary notices, labels, or branding
- Use the Software to develop a competing product or service
- Use the Software in any unlawful manner or in violation of any applicable laws or regulations
- Attempt to gain unauthorised access to any part of the Software or its supporting infrastructure
- Transmit malware, spam, or any harmful code through the Software
3. Intellectual Property
The Software, including all content, features, code, design, trademarks, and documentation, is and remains the exclusive property of SAE Engineering and its licensors. Nothing in this Agreement transfers any intellectual property rights to you.
Any feedback, suggestions, or improvements you provide regarding the Software may be used by SAE Engineering without restriction or compensation.
4. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at via our contact page if you suspect any unauthorised use of your account.
SAE Engineering reserves the right to suspend or terminate accounts that violate this Agreement or that we reasonably suspect have been compromised.
5. Privacy
Your use of the Software is subject to our Privacy Policy, which is incorporated into this Agreement by reference. By using the Software, you consent to the collection and use of your information as described in the Privacy Policy.
6. Fees and Payment
Access to certain features of the Software may require payment of fees as set out in your service agreement or invoice. All fees are:
- Quoted in Australian Dollars (AUD) unless otherwise stated
- Exclusive of GST (where applicable, GST will be added)
- Subject to our standard payment terms (see Terms of Trade)
Failure to pay fees may result in suspension or termination of your access.
7. Updates and Modifications
SAE Engineering may, at its discretion:
- Update, modify, or discontinue any feature of the Software at any time
- Modify this Agreement by providing notice via email or within the Software
Continued use of the Software after notice of changes constitutes your acceptance of the updated Agreement.
8. Warranty Disclaimer
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY LAW, SAE ENGINEERING DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND UNINTERRUPTED OR ERROR-FREE OPERATION.
Nothing in this clause limits any rights you may have under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) that cannot be excluded by contract.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
- SAE Engineering's total liability to you for any claim arising out of or relating to this Agreement or the Software shall not exceed the amounts paid by you to SAE Engineering in the 12 months immediately preceding the claim
- SAE Engineering shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages
This limitation does not apply to liability that cannot be excluded by law (e.g., personal injury caused by negligence, fraud).
10. Indemnification
You agree to indemnify, defend, and hold harmless SAE Engineering and its officers, directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to:
- Your use or misuse of the Software
- Your violation of this Agreement
- Your violation of any third-party rights
11. Term and Termination
This Agreement is effective from the date you first use the Software and continues until terminated.
Either party may terminate this Agreement:
- By providing 30 days' written notice
- Immediately, if the other party materially breaches this Agreement and fails to remedy the breach within 14 days of notice
SAE Engineering may also immediately suspend or terminate your access if:
- You fail to pay fees when due
- We are required to do so by law
- Continued access poses a security risk
Upon termination, your licence to use the Software ceases immediately. Sections 3, 8, 9, 10, 12, and 13 survive termination.
12. Governing Law and Dispute Resolution
This Agreement is governed by the laws of Queensland, Australia. You irrevocably submit to the non-exclusive jurisdiction of the courts of Queensland.
Before initiating legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of at least 30 days.
13. General
- Entire agreement: This Agreement, together with the Privacy Policy and any signed service agreement, constitutes the entire agreement between you and SAE Engineering regarding the Software.
- Severability: If any provision is found unenforceable, it shall be modified to the minimum extent necessary, and the remaining provisions shall continue in full force.
- No waiver: Failure to enforce any provision shall not constitute a waiver of future enforcement.
- Assignment: You may not assign your rights under this Agreement without our prior written consent. SAE Engineering may assign this Agreement in connection with a merger, acquisition, or sale of assets.
- Notices: Legal notices to SAE Engineering must be sent via our contact page.
